David is well known nationally for his work in corporate lending transactions, as well as loan workouts. His practice concentrates in all facets of lending and corporate restructurings of private and public companies, with particular emphasis on asset-based and debtor-in-possession financings. In addition, he represents agents and lending syndicates in connection with both the origination of new financings and the workout of troubled loans. His practice also encompasses the structuring of loans for Tranche B and mezzanine lenders.

David has played a key role in some of the more notable transactions of the past decade involving New England sports franchises. He was the lead counsel for the bank that financed the recent acquisition of the Boston Red Sox Major League Baseball Club. Previously, David was lead counsel for the lenders when the current owners acquired the New England Patriots National Football League franchise. He also has represented lenders in other specialized lending areas.

David was also recognized as one of "America’s Leading Lawyers for Business" by Chambers USA in 2005 - 2010.

  • Counsel to the agents in connection with the $2 billion acquisition and working capital financing of a leveraged buyout of an international retailer
  • Counsel to the agent in connection with a $200 million senior secured facility to a publicly traded multinational company with Canadian and European sub-facilities
  • Counsel to the co-agent in connection with a $2 billion debtor-in-possession revolving credit facility to a major national retailer
  • Represented the agent in connection with $495 million financing for the acquisition and continuing working capital needs of a major national retailer
  • Counsel to the agent in connection with the structuring and financing of synthetic lease facilities
  • Represented a Tranche B lender in connection with a $70 million Tranche B facility
  • Counsel to the agent in connection with financing a line of credit and a term loan for a national golf course management company
  • Represented the agent in connection with restructuring a $180 million credit facility to a U.S. and Canadian printing company
  • Represented the agent in connection with the workout and bankruptcy of a mortgage company
