Jay works with financial institutions and other commercial lenders regarding loan restructuring and protecting and enforcing creditors’ rights and remedies. He frequently advises lenders on a wide range of commercial finance transactions, including single lender loans, complex multi-lender participations, and syndicated credits. He also has extensive experience in negotiated resolutions and involuntary resolutions of troubled credits.

Jay’s work with lenders regularly involves negotiating and documenting financing arrangements, modification agreements, and forbearance agreements. It also may involve the enforcement of creditors’ rights, including real estate foreclosures and secured party sales.

Representative Transactions

  • Represented the agent in workout of an $80 million syndicated credit facility made to a telecommunications company involving the ultimate sale and assignment of the facility
  • Represented the agent in connection with the restructuring of $48 million syndicated credit facility involving management-backed buyout of borrower
  • Represented lender under $14 million revolving credit and term loan facility in connection with the workout and ultimate liquidation of assets of telecommunications equipment manufacturer
  • Represented an equipment lessor in connection with enforcing rights and remedies in connection with equipment leases maintained with lessors in Chapter 7 and Chapter 11 bankruptcy proceedings
