Mike’s practice is focused on representing commercial lenders on a broad range of domestic and cross-border financing transactions, including senior, mezzanine and subordinated secured and unsecured debt, single lender and syndicated transactions, term and revolving credit facilities, asset-based debt financings, construction credit facilities, facilities secured by intellectual property rights, leveraged buyouts, recapitalizations, debtor-in-possession and exit financings, and letter-of-credit transactions.

Representative Transactions

• $370 million senior secured term and revolving credit facility to a major retailer and distributor of office supply products
• $220 million term and revolving credit facility for the acquisition and development of a multi-stage continuing care retirement community
• $130 million cross-border senior secured term loan to an oil and gas refining company involving warrants and equity registration rights, secured by liens on collateral in the United States and Canada
• $55 million multi-tranche secured term and revolving credit facility to a software development company secured by liens on intellectual property
• $44 million subordinated term loan, revolving loan and letter-of credit facility to a commercial vehicle fleet management company secured by liens on collateral in 36 states
• $25 million secured borrowing base credit facility to a national chain of fitness facilities
