Adam is responsible for providing general business and corporate counsel to a broad range of businesses, including closely held businesses of all types and sizes, financial institutions, individual entrepreneurs, and large businesses. Adam represents businesses in all phases of development – from startup through acquisitions, divestitures, mergers, and reorganizations. He advises businesses on corporate governance, shareholder disputes, succession planning, licensing, executive compensation, and represented entities in obtaining funds through outside capital investment or debt financing.

Adam handles a wide range of agreements covering buying and selling businesses, mergers, equity investments and venture capital, corporate governance, business succession planning, entity selection and formation, shareholder voting, non-competition, confidential information and confidentiality, buy-sell and stock transfer restriction, joint ventures, leasing, employment and severance, vendors, supply and sales, technology and trade name licensing, distribution, dealer, development, and marketing.

Lead corporate counsel in $56.5 million stock/asset sale of nationwide and international identification system business, including licensing of technologies and leasing of real estate, via a bankruptcy auction for cash
Lead counsel in the sale of technical polarizer and display films development and manufacturing business, including licensing of technologies and real estate leasing, via an asset purchase agreement for cash
Lead counsel in the sale of laser diode development and manufacturing business, including licensing of technologies and real estate leasing, via an asset purchase agreement for cash and convertible securities
Lead counsel in the sale of computer anti-glare filter and film development and manufacturing business, including licensing of technologies, via an asset purchase agreement for cash
Lead counsel in a joint venture pursuant to which the client contributed its sophisticated graphics imaging development and manufacturing business, including intellectual property and real estate rights, in exchange for a preferred equity position and a minority common interest in the venture
Corporate counsel in the sale of a nuclear waste processing facility via a bankruptcy auction
Corporate counsel in the sale of a securities brokerage business and stock exchange seat
Represented clients in various private equity transactions, investments, and financing
