Ken focuses on representing closely held businesses of all types and sizes through all facets of their business cycle. He has broad experience advising companies in matters ranging from initial entity formation and shareholder considerations to assisting companies with their ongoing business decisions such as hiring employees, negotiating leases, obtaining debt and equity financing, and entering into licensing and other commercial agreements. He also advises companies on certain fundamental matters such as succession planning, shareholder disputes, purchasing existing businesses, and the ultimate sale of their own businesses.
In addition, Ken works extensively with real estate developers and equity investors to draft and negotiate real estate joint venture arrangements and also counsels high-net worth individuals and investment funds in debt and equity investments.
Representative Transactions
- Represented a medical imaging company in the $61 million sale of its business to a publicly-traded competitor
- Represented real estate developer in connection with its $80 million joint venture arrangement to finance the proposed development of a business office park
- Represented the General Partner in the formation of a real estate investment fund in connection with its purchase of a $10 million office building in Boston
- Represented a public company in the sale of its entire investment portfolio made up of interests in approximately twenty-five limited partnerships and corresponding direct equity investments in operating companies through an auction process with an aggregate value of approximately $40 million
- Represented a private equity group in connection with its $4 million investment in a privately held medical services company
- Represented a trade magazine company headquartered in The Netherlands in its approximately $390 million joint initial public offering on NASDAQ and the ParisBourse stock exchange in France
- Represented numerous venture capital funds, financial institutions, and angel investors in connection with their investments in privately-held companies
- Represented a local software company in the sale of its business through a merger valued at approximately $36 million and the subsequent negotiation of employment agreements for its management with the purchaser
- Represented a national financial institution in connection with its numerous joint venture arrangements with real estate developers across the United States
