Nathan focuses his practice on the enforcement of creditors' rights under Article 9 of the Uniform Commercial Code, other state laws, and the Bankruptcy Code. He represents commercial banks and other financial institutions in workout and debt restructuring transactions as well as in connection with secured party sales of assets, other dispositions, and real estate foreclosure sales.
Representative Transactions
Assisted with the following workouts and restructurings:
- Workout of $6 million loan facility to manufacturing company, including eventual liquidation of the manufacturing company by secured party sale
- Workout of $23 million financing arrangement with publicly traded internet company, including eventual liquidation of the internet company by secured party sale
- Workout of $25 million financing arrangement with publicly traded U.S. nutrition product company and its Canadian subsidiary resulting in acceptance of collateral in partial satisfaction of debt
- Restructuring of $18 million loan facility to operators of a regional chain of gas stations and convenience stores
- Restructuring of $5 million loan facility to medical implant, component, and assembly manufacturer
- Foreclosures of two hardware stores for regional bank
- Foreclosure of 2.14 acre site planned for construction of 242 unit condominium complex
