Phil focuses his practice on commercial litigation and commercial loan workouts. Phil has extensive civil litigation experience in state, federal, and bankruptcy courts. With an overall emphasis on creditors’ rights, Phil represents lenders in all phases of litigation, judicial foreclosures, and real estate and commercial loan workouts. Phil has substantial experience, gleaned particularly during the last major recession, in handling forbearance agreements, modifications, deeds-in-lieu of foreclosure, commercial foreclosures, receiverships, suits against guarantors, collections on deficiency claims, fraudulent transfer claims and distressed real estate loan sales. Phil also regularly represents institutional lenders in defending claims of lender liability and in the enforcement of commercial contracts.

In addition to creditors’ rights, Phil represents businesses and individuals in the enforcement of commercial contracts and a wide range of other commercial litigation matters. Phil is an active member of the bar in the State of Illinois and the Commonwealth of Massachusetts and is admitted to practice in various federal courts.

Phil is active with the Commercial and Business Litigation Committee of the American Bar Association and is currently a co-chair of the Banking and Lender Liability subcommittee.


Representative Cases

  • Represented agent in foreclosure of $97 million construction loan secured by shopping center, including obtaining summary judgment in dispute against anchor tenant concerning reimbursement and lien rights in connection with public financing
  • Represented secured lender in connection with workout of real estate loan through deed-in-lieu transaction for multiple medical office buildings
  • Represented special servicer in suit against guarantors for breaching non-recourse carve-out provisions of CMBS loan documents, resulting in favorable settlement
  • Secured dismissal with prejudice on behalf of lender against borrower’s claims for fraud, tortious interference and breach of fiduciary duty seeking damages in excess of $20 million
  • Secured dismissal with prejudice on behalf of lender against borrower’s claims of fraud in connection with interest rate swap agreements
  • Represented secured lender in connection with enforcing lender’s rights and remedies against single asset real estate debtor in a Chapter 11 bankruptcy proceeding, resulting in relief from the automatic stay
  • Represented national bank in suit against title company for coverage and against bank’s former attorney for malpractice, resulting in favorable settlement
  • Assisted in defense of breach of fiduciary duty claims against turnaround management professional in connection with medical technology company in California
  • Assisted in defense of fraudulent transfer and preference claims arising from the demise of an equipment refurbishing and distribution company in Illinois
  • Represented national bank in acquiring title to shopping center through foreclosure and obtaining a multi-million dollar deficiency judgment
  • Represented special servicer in acquiring title to industrial property through foreclosure
  • Represented financial institutions in marketing and sale of multiple loan pools
  • Representation of importer and distributor of beer products in suit seeking damages under the Carmack Amendment and various state law claims
