Saúl concentrates his practice on representing lenders in real estate finance and commercial loans, structured finance transactions, and other complex financings. During his career in New York and subsequently Boston, he has represented lenders and borrowers in a wide variety of financings, including secured and unsecured borrowing base facilities for working capital and acquisitions, real estate construction facilities, acquisition finance transactions, asset-based facilities, and subscription secured lines. Saúl has represented lenders in all rungs of the capital structure. Saúl also has experience in navigating complex intercreditor arrangements and in the creation and perfection of liens and security interests in all types of collateral under applicable state and federal law, particularly the Uniform Commercial Code. He has also advised clients on bankruptcy and creditors' rights issues in connection with workouts of troubled loans and bankruptcy proceedings, including with respect to DIP financing and recovery actions.

  • Represented the agent in connection with over $1.2 billion of mortgage secured real estate financings to fund the acquisition of health care facilities
  • Represented the agent in connection with a $15 million asset-based working capital facility secured by healthcare receivables
  • Represented the agent in connection with a $100 million subscription secured credit facility for a real estate investment fund
  • Represented the lender in connection with a $152 million loan to fund the construction of a residential and retail project in Boston
  • Represented the agent in connection with a $50 million mezzanine loan involving the acquisition of healthcare facilities
  • Represented the agent in connection with a $125 million structurally subordinated revolving credit facility to the operating partnership of a private REIT
  • Represented the agent in connection with a $500 million unsecured term loan facility for a public pension fund’s real estate investment arm
  • Represented the agent in connection with several unsecured term loan facilities to public REITs
  • Represented borrower in connection with a $200 million railcar-based financing
  • Represented agent in connection with a $100 million asset-based working capital facility for a national direct retailer
  • Represented junior participants in a mortgage loan securitized under a CMBS structure in successfully obtaining an order from the Delaware Chancery Court enjoining a transaction proposed by the control party and negotiating a favorable global restructuring of the loan
  • Advised investor clients with respect to investments in distressed debt, CMBS products, and tobacco-related structured finance products
