Ken represents closely held businesses of all types and sizes through all facets of their business cycle as well as financial institutions in a variety of lending transactions. From a corporate perspective, Ken has broad experience advising companies in matters ranging from initial entity formation and shareholder considerations to assisting companies with their ongoing business decisions such as hiring employees, negotiating leases, obtaining debt and equity financing, and entering into licensing and other commercial agreements. He also advises companies on certain fundamental matters such as succession planning, shareholder disputes, purchasing existing businesses, and the ultimate sale of their own businesses. On the financing side, Ken works with a number of lending institutions, with a focus on asset-based lending transactions.
In addition, Ken works extensively with real estate developers and equity investors to draft and negotiate real estate joint venture arrangements and also counsels high-net worth individuals and investment funds in debt and equity investments.
Representative Transactions
- Represented a medical imaging company in the $61 million sale of its business to a publicly-traded competitor
- Represented a real estate developer in connection with its $80 million joint venture arrangement to finance the proposed development of a business office park
- Represented a retail tire store in connection with the $35 million purchase of its business, including the sale of over 40 real estate properties owned by seller
- Represented a private equity group in connection with its $4 million investment in a privately held medical services company
- Represented lender in senior secured term facility in connection with the acquisition by borrower of several national restaurant franchises
- Represented bank in connection with a senior secured syndicated revolving line of credit facility for a subordinated asset-based lending business
- Represented lender in the restructuring of working capital and term facilities to a national restaurant group
- Represented several real estate developers and operating companies as borrowers under working capital and term loan facilities
- Represented numerous venture capital funds, financial institutions, and angel investors in connection with their debt and equity investments in privately-held companies
