Seth's practice focuses on the representation of financial institutions in all aspects of secured and unsecured debt facilities with an emphasis on corporate finance transactions and commercial real estate loan facilities. He represents a wide array of senior and subordinated lenders, including community, regional, national and international banks, mezzanine debt funds, and private equity funds, in connection with single and multi-lender transactions involving asset-based and cash flow facilities, cross-border financings, acquisition and general working capital facilities, and recapitalizations. In addition, Seth represents financial institutions in various restructuring and workout situations. He previously acted as a preferred agent for First American Title Insurance Company.

Representative Transactions

  • Represented agent in connection with a $140 million senior secured term loan and revolving loan to a U.S. based sponsor, the proceeds of which were used to acquire a software company in the United Kingdom with affiliates in The Netherlands and Luxembourg
  • Represented lender in connection with a $85 million asset-based revolving loan to a U.S. recruitment solutions company with subsidiaries in the United Kingdom and the United Arab Emirates
  • Represented agent/lead arranger in connection with a $130 million syndicated real estate term loan secured by commercial office buildings in Virginia occupied by the U.S. government
  • Represented regional bank acting as bondholder in connection with $24 million construction and equipment loans financed with tax exempt Massachusetts Revenue Bonds
